Terms of Service
These Terms govern dealership access to and use of DealerStack. They are written for the platform relationship between DealerStack and dealers, not for vehicle sale agreements between dealers and buyers.

1. Who operates DealerStack
DealerStack is an EdgeStack product operated by The House Edge (Pty) Ltd. In these Terms, DealerStack, we, us and our refer to The House Edge (Pty) Ltd, acting through the DealerStack product and EdgeStack product division.

2. Who these Terms apply to
These Terms apply to dealerships, dealership owners, dealership staff, and any person who creates, accesses, manages, or uses a DealerStack account on behalf of a dealership.
By creating a DealerStack account, accessing the service, or paying a subscription fee, the dealer accepts these Terms.
Public visitors may browse dealership websites powered by DealerStack, but vehicle enquiries, negotiations, deposits, sales, trade-ins, finance discussions, warranties, delivery, and after-sales obligations are between the visitor and the relevant dealership.
3. What DealerStack provides
DealerStack provides software tools that help dealerships publish and manage vehicle inventory, create public dealership websites, route enquiries to dealership contact channels, and view basic activity and lead-event reporting.
DealerStack is a software platform. It is not a motor dealer, vehicle seller, finance provider, insurer, marketplace escrow service, transport provider, or agent for any dealership unless agreed in a separate written agreement.
4. Dealer account responsibilities
Dealers are responsible for ensuring that all account users are authorised to act for the dealership and that login details are kept secure. Dealers are responsible for all activity that occurs through their account.
Dealers must provide accurate dealership information, contact details, WhatsApp numbers, business hours, branding, and any other information displayed on their public DealerStack site.
5. Vehicle listings and dealership content
Dealers are solely responsible for vehicle listings and dealership content, including make, model, variant, year, mileage, price, availability, photos, condition statements, finance wording, trade-in statements, and any promotional claims.
The dealer grants DealerStack a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, resize, format, display, and distribute dealer content as needed to provide the service for the duration of the dealer's account. The licence ends when the dealer's content is deleted or their account is closed, except for archived copies kept for legal, tax, audit, or backup purposes. Dealers confirm that they have the rights and permissions needed to upload and publish that content.
DealerStack may remove or restrict content that appears unlawful, misleading, fraudulent, harmful, abusive, infringing, or likely to create legal, security, or reputational risk.
Dealers indemnify DealerStack against third-party claims, losses, fines, and reasonable legal costs arising from dealer content or from the dealer's use of DealerStack in breach of these Terms — including claims for intellectual property infringement, defamation, misrepresentation, or breach of consumer protection, vehicle-trading, or advertising laws.
6. Buyer enquiries and vehicle transactions
DealerStack may generate enquiry links, WhatsApp click-through links, lead events, or analytics relating to buyer activity. These tools help a buyer contact a dealer, but DealerStack does not verify the buyer, guarantee buyer quality, or guarantee that an enquiry will result in a sale.
Any vehicle transaction is concluded directly between the dealership and the buyer. Dealers must comply with all laws and industry obligations that apply to their vehicle advertising and sales, including consumer protection, roadworthy, finance, warranty, tax, and advertising requirements where applicable.
DealerStack does not host, store, or have access to the content of messages exchanged between dealers and buyers via WhatsApp. Click-through links are provided as a convenience and route directly from the buyer's device to the dealer's WhatsApp account. DealerStack records only anonymised click events for the dealer's own analytics.
7. Subscriptions, billing, and PayFast
DealerStack subscription fees, package limits, trial periods, billing cycles, and included features will be shown on the website, in the signup flow, in an invoice, or in a written agreement with the dealer.
Subscription payments may be processed by PayFast or another payment provider. The payment provider's own terms and privacy notices may apply to payment processing. Card details are handled by the payment provider; DealerStack does not store or process full card numbers or card security codes.
Unless otherwise agreed in writing, subscriptions renew monthly until cancelled. A dealer may cancel at any time. Cancellation takes effect at the end of the current paid billing period, and the dealer remains responsible for fees already incurred. Fees already paid are not refundable for partial billing periods, unused features, or cancellation, except where DealerStack has materially failed to provide the service or where a refund is required by law.
8. Trials, cancellation, and refunds
If DealerStack offers a free trial, the trial terms will be shown at signup or in the relevant offer. DealerStack may change or withdraw trial offers at any time, provided this does not affect a trial already granted unless the account is misused.
Dealers may request cancellation by following the cancellation process in the product or by contacting support@dealerstack.co.za. Refunds are handled as set out in Section 7.
9. Acceptable use
Dealers and users may not use DealerStack to:
- publish fake, misleading, unlawful, or unavailable vehicles;
- misrepresent prices, finance terms, stock status, or dealership details;
- upload content that infringes another person's rights;
- send spam or unlawful direct marketing;
- attempt to scrape, reverse engineer, overload, or bypass the platform;
- upload malware or interfere with platform security; or
- use DealerStack in a way that creates legal or reputational risk.
10. Third-party services
DealerStack may rely on third-party services such as hosting providers, domain/DNS providers, email services, analytics tools, payment processors, and storage providers. DealerStack is not responsible for outages, policy changes, delays, or failures caused by third-party services outside our reasonable control.
11. Availability and changes
We aim to keep DealerStack reliable and useful, but we do not guarantee uninterrupted availability. We may update, improve, suspend, replace, or remove features where needed for security, maintenance, legal compliance, product improvement, or operational reasons.
12. Intellectual property
DealerStack, EdgeStack, The House Edge, the platform software, interface, design system, templates, code, workflows, documentation, and brand assets belong to The House Edge or its licensors.
Dealers retain ownership of their dealership content and vehicle content, subject to the licence granted to DealerStack to host, process, display, and provide the service.
13. Data and privacy
DealerStack processes personal information and dealership information to provide the service, manage accounts, route enquiries, provide support, process billing, improve the product, and comply with legal obligations.
Our privacy practices are described in the DealerStack Privacy Policy, which should be read with these Terms. Where a dealer uploads staff information or any other personal information into DealerStack, the dealer remains responsible for having the necessary lawful basis and notices for that information.
Where DealerStack processes personal information on a dealer's behalf — including dealer staff login data and anonymised analytics events — it does so as an operator under the Protection of Personal Information Act 4 of 2013, on the dealer's documented instructions and only as needed to provide the service. 14. Suspension and termination
DealerStack may suspend or terminate access to a dealership account or public dealer site if there is non-payment, suspected fraud, unlawful content, security abuse, breach of these Terms, or legal/reputational risk.
On termination, DealerStack may disable account access and public listings. For 30 days after termination the dealer may request an export of their dealership content and account data, provided their account is paid up to the termination date. After that period DealerStack may delete dealer content, except for records we retain where required for legal, tax, security, audit, or legitimate business purposes.
15. Disclaimers and limitation of liability
DealerStack is provided as a software service. We do not guarantee vehicle sales, buyer enquiries, search rankings, social media reach, WhatsApp delivery, finance approvals, or the accuracy of dealer-supplied listing information.
To the fullest extent permitted by South African law, DealerStack will not be liable for indirect, special, incidental, punitive, or consequential loss arising from the use of the platform. Nothing in these Terms excludes liability that cannot lawfully be excluded.
Our total liability to a dealer for any claim arising out of or relating to these Terms or DealerStack is limited to the subscription fees paid by that dealer to DealerStack in the 12 months immediately before the event giving rise to the claim. This cap does not apply to a dealer's outstanding payment obligations, to either party's indemnification obligations, or to liability that cannot lawfully be limited under the Consumer Protection Act 68 of 2008 or other applicable South African law.
16. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new last updated date. Continued use of DealerStack after a change means you accept the updated Terms.
17. Governing law
These Terms are governed by the laws of the Republic of South Africa.
Any dispute relating to these Terms or DealerStack will be dealt with by the appropriate court of competent jurisdiction in South Africa. The parties consent to the jurisdiction of any Magistrates' Court in Gauteng having jurisdiction over the dealer, notwithstanding that the value of the claim or matter may exceed that court's standard monetary jurisdiction. This does not prevent either party from approaching a higher court where required by law or for urgent relief.

Legal notices to DealerStack must be sent to The House Edge (Pty) Ltd at 105 Bokmakierie Street, Rooihuiskraal, Centurion, 0157, South Africa, marked for the attention of the directors. Legal notices to a dealer will be sent to the email address on the dealer's account.
19. General
Severability. If any part of these Terms is found unenforceable, the rest continues to apply.
Entire agreement. These Terms, together with the Privacy Policy and any signed order form or written agreement between The House Edge (Pty) Ltd and the dealer, form the entire agreement between the parties about DealerStack and replace any earlier understanding on the same subject.
Assignment. Dealers may not assign or transfer their rights or obligations under these Terms without our prior written consent. We may assign these Terms on notice to the dealer, including in connection with a sale, restructure, or transfer of the DealerStack business.
Waiver. If we do not enforce a right or clause on a particular occasion, we have not waived the right to enforce it later.
No partnership. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between DealerStack and a dealer.
